Terms of Service and End-User Licence Agreement
Version v1.0 Last updated
These terms are both the Terms of Service and the End-User Licence Agreement for Sēctor. They apply to the Sēctor office app, the crew app and the client portal.
1. About these terms
Sēctor is operated by Worry Free Commercial Snow Inc. ("we", "us", "our"). Sēctor is a web application for commercial property-maintenance companies.
Our customer is the maintenance company that uses Sēctor. We call it the Organization. Its staff, crew and clients who sign in are Authorized Users.
By using Sēctor you agree to these terms. If you accept them for an Organization, you confirm that you are allowed to do so. If you do not agree, do not use Sēctor.
2. Licence to use Sēctor
We grant the Organization and its Authorized Users a limited, non-exclusive, non-transferable licence to use Sēctor for the Organization's own business, for as long as the Organization's account is active and these terms are followed.
We keep all rights in Sēctor itself, including the software and its design. This licence does not transfer any of those rights.
3. Accounts and credentials
- The Organization decides who gets an account and what role each person has.
- Staff sign in to the office app. Crew sign in to the crew app with a phone number and PIN. Clients sign in to the client portal with an email address and a one-time code.
- Keep your password, PIN and one-time codes to yourself. You are responsible for what is done with your credentials.
- The Organization is responsible for the activity of its Authorized Users, and for removing access when someone no longer needs it.
- Tell the Organization, and us, promptly if you think an account has been used without permission.
The crew app needs location permission to work. It records the phone's GPS position at clock-in, clock-out, visit start and visit finish, as described in the Privacy Policy.
4. Acceptable use
When using Sēctor, do not:
- break the law, or enter information you have no right to use
- access, or try to access, another Organization's data or an account that is not yours
- share your credentials or let someone else use your account
- interfere with the service, test its security without our written permission, or get around its access controls
- upload malicious code
- copy, resell or sublicense Sēctor, or reverse-engineer it, except where the law allows that despite this term
- use automated tools to pull data out of Sēctor in a way that harms the service
We may suspend an account that breaks these rules.
5. Your data
The Organization owns the data it and its Authorized Users put into Sēctor.
The Organization grants us the right to host, copy, transmit and otherwise process that data, only as needed to provide Sēctor to it.
The Organization is responsible for the data it enters about its own clients and workers. That includes having the right to enter it and telling those people how it is used.
How we handle personal information is set out in the Privacy Policy.
6. Third-party services
Sēctor works with services run by other companies. Electronic signatures are collected through SignWell. Accounting is done through QuickBooks Online, when the Organization connects it.
Those services are governed by their own terms and privacy policies, not by these terms. We are not responsible for how they operate. The full list of the providers we use is in the Privacy Policy.
7. QuickBooks Online
Connecting QuickBooks Online is optional. The connection is made by an owner or admin of the Organization through Intuit's own consent screen (OAuth 2.0). We request the Accounting scope only.
- We read: company name and country, customers, products and services, tax codes, invoices and payments.
- We write: customers and invoices that the Organization chooses to create from Sēctor. We do not create or modify payments.
- Purpose: to create invoices for work the Organization has contracted, to show invoice and payment status inside Sēctor and to the Organization's own clients in the client portal, and to keep customer billing details in step.
- Payment details: payment card and bank details are entered on Intuit's pages. They are never received, processed or stored by Sēctor.
- Tokens: access tokens are encrypted at rest (AES-256-GCM) and are deleted when the Organization disconnects.
- Disconnecting: available at any time in Sēctor (Settings → Integrations) or from within QuickBooks.
QuickBooks data is used only to provide the service to that Organization. It is not sold, not used for advertising, and not shared with third parties other than the service providers listed in the Privacy Policy.
The Organization's use of QuickBooks Online is governed by its own agreement with Intuit.
QuickBooks and Intuit are trademarks of Intuit Inc. Intuit is not a party to these terms.
8. Availability
We work to keep Sēctor available, but we do not guarantee any level of uptime. The service may be unavailable from time to time for maintenance, updates or reasons outside our control.
We may change or remove features. The Organization is responsible for checking the invoices, pay run totals and other records it produces with Sēctor before relying on them.
9. Fees
Fees for Sēctor are agreed separately between us and the Organization. These terms do not set prices.
10. Disclaimer of warranties
Sēctor is provided "as is" and "as available". To the extent the law allows, we make no warranties or conditions of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement.
We do not warrant that Sēctor will be uninterrupted or free of errors.
11. Limitation of liability
To the extent the law allows:
- we are not liable for indirect, incidental, special or consequential losses, or for lost profits, lost revenue or lost data, arising from the use of Sēctor
- our total liability arising from Sēctor or these terms is limited to the fees the Organization paid us for Sēctor in the twelve months before the event that gave rise to the claim
Nothing in these terms limits liability that cannot be limited by law.
12. Ending the agreement and data export
The Organization may stop using Sēctor at any time. Any commitments in its separate agreement with us still apply.
We may suspend or end access if these terms are broken, or if we stop offering Sēctor. If we end the service for a reason other than a breach of these terms, we will give reasonable notice.
When an account ends, the licence above ends with it. On request, we will provide the Organization with an export of its data. After that, the data is deleted as described in the Privacy Policy.
13. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction over any dispute about them.
14. Changes to these terms
We may update these terms. When we do, we change the version number and the "Last updated" date at the top of this page. If a change is significant, we will also tell Organizations by email or with a notice in the app. Continuing to use Sēctor after a change takes effect means you accept the updated terms.
